2715.7740 INTEREST OF CERTAIN PERSONS IN MATTERS TO BE ACTED UPON.

A.

For solicitations not subject to part 2715.7390, describe briefly any substantial interest, either direct or indirect, of each of the following persons, in any matter to be acted upon other than elections to office:

(1)

if the solicitation is made on behalf of the issuer, each current director or officer of the issuer;

(2)

if the solicitation is not made on behalf of the issuer, any person who would be a participant in a solicitation, except the issuer, or an officer, director, or nominee of the issuer;

(3)

each nominee for election as a director of the issuer; and

(4)

each associate of the foregoing persons.

B.

For solicitations subject to part 2715.7390, describe briefly any substantial interest, either direct or indirect, of each participant, except the issuer in any matter to be acted upon at the meeting, and include with respect to each participant the information or an adequate summary thereof, required by parts 2715.8320, items A and D, 2715.8330, and 2715.8340, items B and C.
