A bill for an act
relating to business organizations; allowing an affidavit of incorrect business
address to be filed; amending Minnesota Statutes 2022, section 5.36, by adding a
subdivision.
BE IT ENACTED BY THE LEGISLATURE OF THE STATE OF MINNESOTA:
Minnesota Statutes 2022, section 5.36, is amended by adding a subdivision to
read:

(a) If a business entity has filed an
incorrect business address, the rightful owner or occupier of the address may file an affidavit
of incorrect business address with the secretary of state that includes the following:

(1) the owner or occupier's address;

new text begin
(2) evidence of ownership or occupation via documentation that contains the address at
issue, including but not limited to a state-issued form of identification, current utilities bill,
or an executed lease agreement; and

(3) a statement that the business entity is not authorized to use the address at issue.

(b) The secretary of state must provide a form of affidavit for use under this subdivision.

(c) Upon receipt and acceptance of a completed affidavit, the secretary of state must
remove the address at issue from the secretary of state's website and administratively dissolve
the business entity.

(d) A business entity may be reinstated and placed back in good standing if the business
entity provides a new, accurate business address to the secretary of state and pays any related
fee.
